Terms and Conditions

Version 1.1 · Effective 21 October 2026 · Last updated 20 October 2026

1. About These Terms

1.1

These Terms and Conditions (hereinafter, the “Terms”) constitute a legally binding agreement between you (hereinafter, “you”, “your”, or the “User”) and UNNAS DIGITAL TEC Private Limited (CIN: U62099AP2021PTC119343), a company incorporated under the Companies Act, 2013, and having its registered office at 2-263 Kotha Jaddavaripalem, Nuzendla Mandal, Palnadu District, Andhra Pradesh – 522659, India (hereinafter, the “Company”, “FarmJaan”, “we”, “us”, or “our”), which owns and operates the FarmJaan platform (hereinafter, the “Platform”) at farmjaan.com, farmjaan.in, and their subdomains (including the farmer and vendor applications), together with any associated mobile applications.

1.2

The Platform is, as at the Effective Date, available in select areas of Andhra Pradesh, India, and may be expanded from time to time at the Company’s sole discretion.

1.3

Acceptance. Upon registration, you signify acceptance of these Terms by ticking the acceptance checkbox. The Company records the version of the Terms so accepted, your account identifier, and the date and time of acceptance. Should you decline to accept these Terms, you must refrain from registering for or otherwise using the Platform.

1.4

These Terms, together with the Company’s Privacy Policy at https://farmjaan.com/privacy-policy and any service-category requirements, plan terms, or rules published on the Platform and incorporated herein by reference, constitute a single agreement between you and the Company.

1.5

Language. These Terms are drafted in the English language. The Company may, for convenience, provide translations (for example, into Telugu); in the event of any inconsistency, the English version shall prevail.

1.6

The Company reserves the right to amend these Terms in accordance with the provisions of Section 19 hereof.

2. Definitions

2.1

“Booking” means a request for a Service submitted by a Farmer to a Vendor through the Platform, together with its status history (namely, Pending, Accepted, In Progress, Completed, Declined, or Cancelled).

2.2

“Completion Code” means the four-digit code issued by the Platform to a Farmer in respect of a Booking, which a Vendor is required to enter in order to mark the Booking as Completed.

2.3

“Farmer” means a registered user in the Farmer role who uses the Platform to discover, book, or review Services.

2.4

“Listing” means content published by a Vendor on the Platform offering a Service.

2.5

“Service” means any agricultural service or resource listed by a Vendor, including, without limitation and as available, machinery such as tractors, harvesters, JCBs and cranes; borewell services; drone spraying; soil testing; land surveying; farm labour; land offered for lease; land offered for sale; agricultural inputs such as seeds and fertilisers; and cold storage. The categories of Service may be revised from time to time.

2.6

“Subscription” or “Plan” means the paid access purchased by a Vendor (whether a credit plan, a time pass, or a substantially similar arrangement) as displayed on the Platform.

2.7

“Vendor” means a registered user in the Vendor role who offers Services through the Platform.

2.8

“Verification” shall have the meaning ascribed to it in Section 7.3, and no other.

2.9

“Grievance Officer” means the person appointed pursuant to Section 18 hereof.

3. Eligibility and Use

3.1

You must be at least eighteen (18) years of age and competent to enter into binding contracts under Indian law.

3.2

The Platform is offered, and may be used, only within the territory of India.

3.3

You may register as a Farmer, as a Vendor, or in both capacities. Each account shall be registered using a mobile telephone number that belongs to you or, in the case of a business, to a person duly authorised to act on its behalf.

3.4

All information provided by you shall be accurate, complete, and current at all times.

3.5

You shall be responsible for all activity occurring under your account and credentials, and shall notify the Company forthwith upon suspecting unauthorised use.

3.6

Identity verification. The Company does not verify the identity of every user. Registration records the details furnished by you; it does not independently prove identity. The Company does not warrant that every account or booking request is genuine; Users are expected to exercise ordinary care and business judgement.

4. Role of FarmJaan

4.1

The Platform connects Farmers with Vendors. The Company provides discovery, booking records, status tracking, reviews, support, and related tools.

4.2

Contractual nexus. When a Farmer books a Service, any contract for that Service is formed directly between the Farmer and the Vendor alone. The Company is not a party to that contract, does not provide the Service, and does not supervise performance.

4.3

No handling of service payments. The Company does not collect, hold, escrow, process, guarantee, or refund any payment between a Farmer and a Vendor. The price, payment method, and payment timing for a Service shall be agreed directly between them; the Company recommends that both be agreed prior to the commencement of work. In the event of a payment dispute, resolution shall lie between the Farmer and the Vendor; the Company is unable to recover, reverse, or refund monies that have not passed through it.

4.4

Independence of Vendors. A Vendor is an independent service provider and not an employee, agent, partner, or franchisee of the Company, and possesses no authority to act on the Company’s behalf. Nothing on the Platform creates employment, agency, partnership, or joint venture.

4.5

No logistics services. The Company does not transport persons, equipment, or produce, and does not take custody of any produce, including in respect of cold storage, which is operated by Vendors (see Section 16.6).

4.6

Intermediary status. Listings, prices, photographs, and descriptions are supplied by Vendors. Verification under Section 7.3 does not constitute an endorsement of any Vendor and does not guarantee service quality, safety, or outcome. The Company’s role is that of an intermediary connecting Users; the Company does not act as a seller, broker, or agent in respect of any Service.

4.7

The Company may decline, conceal, or remove any Listing or content that contravenes these Terms, applicable law, or platform integrity, and may take enforcement action in accordance with Sections 7.7 and 15.

5. Accounts, Security, and Administrative Actions

5.1

To register, you shall provide your name, mobile telephone number, and a password; Vendors shall additionally provide business details. Your mobile telephone number shall be used for account purposes, including one-time passwords where applicable.

5.2

You shall protect your credentials and refrain from sharing them. Suspected compromise shall be notified to Support forthwith. The Company may suspend an account temporarily pending verification of a security concern.

5.3

The Company may suspend or block accounts in the circumstances described in Section 15.2.

5.4

Administrative actions and consent.

  • (a)The Company’s team may create a Booking on a Farmer’s behalf only with the Farmer’s prior consent, obtained by telephone. Such calls include an automated voice disclosure and may be recorded as evidence of consent. The Booking shall thereafter appear in the Farmer’s account and may be cancelled by the Farmer in the same manner as any other Booking.
  • (b)At your request, the Company’s team may reset your password; you shall be notified and new credentials issued.
  • (c)For support or dispute-resolution purposes, the Company’s team may correct a Booking’s status or record, recording a written reason and notifying affected Users.
  • (d)No modification of personal information without consent. The Company shall not alter your personal information without your consent. Should the Company ever be required to act without consent, whether for safety, security, or legal compliance, you shall be informed.

6. Terms Applicable to Farmers

6.1

Discovery of Services. You may search by location, category, and radius. Results display vendor-supplied information; the Company does not warrant its availability, accuracy, or completeness.

6.2

Booking requests. You shall provide accurate details, including location, date, scope, and requirements. A Booking shall initially be Pending until the Vendor accepts it. You may hold one active Booking per Vendor per service type at any given time.

6.3

Upon acceptance. The Vendor’s contact number shall be unlocked in your Booking details. You shall coordinate directly with the Vendor and shall treat the counterpart’s number with the respect required under Section 12.

6.4

Cancellation and change. You may cancel a Booking while it is Pending or Accepted. The Platform does not currently offer rescheduling; to change the date or time, please cancel and book afresh. (Cold-storage reservations may be extended from the Booking details.)

6.5

Payment to Vendors. You shall agree the price and payment terms with the Vendor, and shall pay the Vendor directly, whether in cash, by UPI, or by such other means as the two of you may agree. You shall retain your own records. The Platform adds nothing to the Vendor’s price: the Company charges Farmers no fee, commission, or platform charge (see Section 8.1), and the Company is unable to process refunds between you and the Vendor (see Section 4.3).

6.6

The Completion Code. Upon a Booking being marked In Progress, you shall be shown a four-digit code. You should refrain from sharing it until the work has been completed to your satisfaction; the Vendor requires it in order to mark the Booking Completed. Should you remain dissatisfied, you should not share the code and should instead raise a Support request (see Section 18). Five incorrect entries shall lock the code; Support may unlock it. The decision to share the code is, in all cases, yours alone.

6.7

Your responsibilities. You shall provide accurate field, location, and access information. You remain responsible for your own land and crop decisions; nothing on the Platform constitutes agricultural, legal, tax, or financial advice (see Section 16.7). You should select Vendors with care, having regard to ratings, reviews, and the documents displayed (see Section 7.3).

7. Terms Applicable to Vendors

7.1

Your registration and business information shall be accurate and current, including the mobile telephone number and location used for your Listings.

7.2

Listings. You shall describe your Service truthfully, including pricing basis, equipment, area, availability, and photographs. The price displayed should reflect the amount you genuinely intend to charge; should the final amount require variation, you shall agree the change with the Farmer prior to the provision of the Service.

7.3

Documents and the meaning of “Verification”.

  • (a)Depending upon your service category, you shall submit the documents listed on the Vendor site at https://vendor.farmjaan.com/documents (summary at Schedule 1), namely licences, permits, qualification or registration numbers, and, for certain categories, supporting documents.
  • (b)The Company’s team shall review submitted documents for authenticity and validity. The Company is a young enterprise and currently verifies manually; it does not yet have direct access to government databases. Where and when access or permissions are obtained, the Company may cross-check documents with the issuing authorities.
  • (c)The Company aims to complete document review within twenty-four to forty-eight (24–48) hours of receipt of complete and valid documents. This is an estimate provided to assist your planning and does not constitute a commitment.
  • (d)Limits of Verification. Verification does not constitute a guarantee of service quality, safety, or results, nor an endorsement by the Company. In respect of land-related Listings, documents are displayed for information only; the Company does not verify legal ownership or title (see Section 16.4). Verification may be revoked should documents lapse or concerns arise. Where Verification is revoked, Bookings already accepted shall be honoured unless safety or legality requires otherwise; affected Farmers shall be notified.
  • (e)Badge. The “Verified” badge displayed on the Platform reflects the Verification described in this Section, and nothing else.
7.4

Compliance with law. You shall obtain and maintain every licence, permit, registration, and qualification required by law in respect of your Services and your workers, and shall comply with all applicable laws. By way of illustration and not limitation: the Drone Rules, 2021, including DGCA registration, pilot certification, and airspace permissions, in respect of drone services; the Seeds Act, 1966 and the Seed (Control) Order, 1983; the Fertiliser (Control) Order, 1985; and the Insecticides Act, 1968, in respect of the sale of inputs; labour laws, including minimum wages and the prohibitions on bonded and child labour, in respect of the provision of labour; and motor-vehicle, equipment-safety, and tax laws. The Company may require additional documents at any time and may remove Listings or Vendors where legality is in doubt. Should the Company find that a Vendor has acted illegally, the Vendor shall be banned.

7.5

Management of Bookings. You shall respond to requests promptly and shall accept or decline honestly. Upon acceptance, you shall honour the Booking; should you be genuinely unable to do so, you shall inform the Farmer at the earliest opportunity and notify Support. You shall update status truthfully through the lifecycle (Accepted, In Progress, Completed). A Booking shall be marked Completed only upon receipt of the Farmer’s Completion Code; you shall not pressure or induce a Farmer to share the code prematurely (see Section 12).

7.6

No promise of demand. A Subscription purchases visibility and booking capacity, not bookings. The Company does not guarantee leads or demand, and does not verify or guarantee the genuineness of every booking request. Vendors are expected to apply ordinary business judgement. The Company’s sole booking-related concession is the First-Month Booking Credit (see Section 8.6).

7.7

Standards and enforcement. The Company monitors Vendor performance principally through Farmer reviews, ratings, and reports. Poor performance, including without limitation repeated no-shows, cancellations following acceptance, safety concerns, dishonest conduct, persistently poor ratings, or breach of these Terms, may result in a warning. The Company typically issues up to two warnings; should difficulties persist, the Vendor may be removed. Prior to removing a Vendor, the Company shall, where practicable, assist in re-routing affected Bookings to alternative Vendors; where re-routing is not possible, affected Farmers shall be notified. Removal for breach entails forfeiture of unused Subscription value (see Section 8.7).

7.8

Insurance. The Company encourages Vendors to maintain insurance appropriate to their work, including in respect of machinery, drones, and workers, and may require it for specific categories in future upon notice.

8. Fees, Subscriptions, and Refunds

8.1

Farmers. As at the Effective Date, the Platform is free of charge to Farmers. The Company currently imposes upon Farmers no fee, commission, or platform charge, whether hidden or otherwise; you pay only the price agreed with the Vendor. Should the Company ever determine to introduce any Farmer-facing charge, it shall give the notice described in Section 19 prior to the charge taking effect.

8.2

Vendor Subscriptions. Plans and prices shall be displayed on the Platform at the time of purchase. Broadly: a free trial shall be available once per Vendor per service type; credit plans shall provide booking credits consumed as Bookings complete; time passes shall run for calendar days, with idle days credited back as described on the Platform; and renewals and top-ups shall fold remaining credits into the new Subscription. There is no automatic renewal; Vendors purchase at their own election.

8.3

Payment. Subscription payments shall be processed by Razorpay, a third-party payment gateway, under its own terms. The Company receives order, plan, and amount details, and not your card or UPI credentials. Should your payment be debited but your Plan fail to activate, the Company’s systems shall automatically reconcile such cases within forty-eight (48) hours; should the position remain unresolved, you should contact Support with your payment details. Verified duplicate or erroneous charges shall be refunded in full.

8.4

Taxes and invoices. Prices displayed on the Platform are exclusive of GST. GST, where applicable, shall be charged in accordance with law and added at the time of purchase; an invoice shall be issued for every successful purchase, downloadable from your Payments page via a private, time-limited link. Taxes arising from Services between Farmers and Vendors (including any GST on a Vendor’s service) shall be the sole responsibility of the respective parties.

8.5

Cancellation and expiry of Subscriptions. You may cancel a Subscription at any time from within the Platform. Upon cancellation, remaining credits shall be forfeited, the Listings funded by that Subscription shall be concealed from Farmers, and no refund shall be payable. When a Plan expires or its credits are exhausted, Listings funded by it shall be concealed from Farmers until a new Plan is purchased. Vendors should be certain of their intention prior to cancellation.

8.6

First-Month Booking Credit. Where a Vendor who has not previously purchased a paid Subscription on the Platform activates a first paid Subscription, and receives no Bookings for that service type through the Platform during the first thirty (30) days from activation, such Vendor may request a carry-forward of the platform fee paid for that Subscription, to be applied as credit against a future Subscription of the same service type. To claim, the Vendor shall contact Support within seven (7) days following the expiry of the thirty-day period, providing account and payment details. The Company shall verify the claim and, upon approval, apply the credit to the Vendor’s account within seven to fourteen (7–14) working days. The Company shall notify the Vendor upon the conclusion of the thirty-day period and shall indicate whether the Vendor appears to be eligible. This credit: (a) applies once, to the first paid Subscription on the Vendor’s account; (b) does not apply to subsequent Subscriptions or to other service types; (c) does not apply where the Vendor received Bookings but declined or failed to complete them; (d) does not apply where the Vendor’s Listing was inactive, incomplete, or concealed for reasons attributable to the Vendor during the period; and (e) does not apply where the Vendor’s account was suspended for breach during the period. The credit shall remain available for application to a Subscription purchased within six (6) months of the date of approval, failing which it shall lapse.

8.7

No other refunds. Save as provided in Section 8.3 (erroneous charges), Section 8.6 (the credit), and save as required by applicable law, Subscription fees are non-refundable, including without limitation where a Vendor is removed for breach (see Section 7.7), where an account is closed at the Vendor’s request, or where a Plan remains unused.

8.8

Bank disputes. Vendors should contact the Company prior to raising a chargeback with their bank; the Company shall endeavour to resolve the matter directly. Chargebacks raised without prior contact may result in suspension of the account pending resolution.

8.9

Referrals. The Company may, from time to time, operate referral programmes (by way of illustration, awarding bonus booking credits for successful Vendor referrals). Rewards shall have no cash value; the Company may amend or discontinue a programme upon notice, and may reverse rewards obtained through fraud or multiple accounts.

9. Bookings: Statuses, Cancellation, and Disruptions

9.1

A Booking shall proceed as follows: Pending (requested), then Accepted, then In Progress, then Completed (requiring the Farmer’s Completion Code). A Vendor may Decline while a Booking is Pending or Accepted. Bookings may also be Cancelled.

9.2

Farmer cancellation. You may cancel while the Booking is Pending or Accepted. Once the Booking is In Progress, please speak to the Vendor directly, or raise a Support request should assistance be required.

9.3

Vendor cancellation. A Vendor may decline while a Booking is Pending or Accepted. Once a Booking is In Progress, the Vendor cannot cancel through the Platform; the Vendor shall inform the Farmer and, if required, Support. Repeated declines following acceptance shall be treated in the same manner as a no-show (see Section 7.7).

9.4

Interventions by the Company. For support or dispute-resolution purposes, the Company’s team may cancel or correct a Booking, recording a written reason and notifying both parties (see Section 5.4(c)).

9.5

Disruptions beyond the parties’ control, including inclement weather, power or network outages, strikes, breakdowns, or governmental restrictions. Where a Booking cannot proceed for any such reason, no fault shall be attributed to either party: the Booking shall not count against either party as a cancellation or adverse outcome. The Booking shall simply be displayed for retry, and either the same Vendor may be booked again later or the Farmer may select a different Vendor. Should the disruption occasion genuine costs, the parties should discuss the position directly and in good faith.

9.6

No-shows. Should a Vendor fail to arrive or perform, the Farmer may record the fact in a review and report it to Support; repeated no-shows shall lead to warnings and removal (see Section 7.7). Should a Farmer be repeatedly unavailable for accepted Bookings, the Vendor may report the fact, and the Farmer’s account may be subject to action (see Section 15.2).

9.7

Completion disagreements. Should a Booking be incapable of being marked Completed owing to disagreement between the parties, for example as to quality, the parties should contact Support with particulars; the Company may resolve the status (see Sections 5.4(c) and 9.4).

10. Reviews and Ratings

10.1

Farmers may review a Vendor following a Completed Booking, one review per Booking. Reviews and aggregate ratings shall be publicly visible.

10.2

Editing. A review may be edited within twenty-four (24) hours of submission. Thereafter it cannot be edited through the Platform; should it contain a material error, the author should contact Support.

10.3

Honesty. Reviews shall reflect genuine experience. They shall not contain false statements, defamatory matter, explicit or sexual content, hate speech, harassment, spam, the personal information of others, or content posted in a conflict of interest, such as by a competitor.

10.4

Reporting and removal. Any user may report a review, and Vendors may flag a review for removal. The Company shall remove a review only where it contravenes the provisions of Section 10.3 or Section 12 (which, taken together, constitute the Company’s Content Policy). An honest negative review shall not be removed merely because a Vendor dislikes or disagrees with it. Vendors may not themselves delete Farmers’ reviews.

10.5

Incentivised reviews. Reviews offered in exchange for a benefit (whether a discount, cash, credits, or anything of value) are permitted only where the review clearly discloses the incentive. An undisclosed incentivised review is misleading, may be removed, and repeated instances may result in account action.

10.6

Effect. Ratings influence how others perceive a Vendor, and persistently poor ratings may ground warnings or removal (see Section 7.7).

10.7

Responsibility. The author is responsible for the content of a review. The Company may remove content and act under Section 15 without liability to any person.

10.8

Upon a user deleting their account, their reviews may be retained in anonymised form (see Section 14.4).

11. Communication Between Farmers and Vendors

11.1

Telephony-first. Upon a Booking being Accepted, the Platform displays the counterpart’s contact number within the Booking details, so that the parties may coordinate. Such details shall be used solely for the purposes of that Booking; misuse is prohibited (see Section 12).

11.2

Company calls. Calls from the Company’s support or verification team may be recorded for quality and record-keeping purposes, with notice at the commencement of the call. Consent calls for team-created Bookings employ an automated voice disclosure and may be recorded (see Section 5.4(a)).

11.3

Messaging. As at the Effective Date, telephony is the principal means of communication between Farmers and Vendors. The Company intends to introduce in-app messaging in future; upon introduction, it shall be governed by these Terms and the same content standards.

12. Prohibited Conduct

The following conduct is prohibited on or through the Platform:

  • (a)breaching any law or these Terms, or using the Platform for any unlawful, fraudulent, or deceptive purpose;
  • (b)misrepresenting your identity, qualifications, or documents, including uploading forged, altered, or third-party licences or proofs;
  • (c)creating multiple accounts so as to abuse free trials, referrals, or enforcement history;
  • (d)offering or requesting anything unlawful, including spurious, banned, or unlicensed seeds, fertilisers, or pesticides, or unauthorised drone operations;
  • (e)employing bonded or child labour, or paying below the legal minimum wage;
  • (f)harassing, threatening, abusing, or discriminating against any person, or posting hate speech or obscene material;
  • (g)infringing the intellectual property or confidentiality of others;
  • (h)pressuring or inducing a Farmer to share the Completion Code prior to completion of the work;
  • (i)scraping, harvesting, or otherwise misusing contact details or the data of other users, or sending spam;
  • (j)interfering with, probing, or reverse-engineering the Platform, or accessing data or accounts belonging to others;
  • (k)circumventing warnings, blocks, or other enforcement measures.

Breaches may result in content removal, warnings, suspension, removal, forfeiture of unused Subscription value (for Vendors), legal action, and reporting to the authorities where the law so requires.

13. Content and Intellectual Property

13.1

The Platform, including without limitation its software, design, brand, and all content created by the Company, belongs to the Company and its licensors.

13.2

Your content remains yours. By posting content (Listings, photographs, reviews, documents, profile information), you grant the Company a non-exclusive, royalty-free licence to host, display, and use such content as is required to operate and improve the Platform, including for anonymised analytics, for so long as the content subsists on the Platform, together with anonymised retention under Section 14.4. You warrant that you possess the rights necessary to post such content.

13.3

The Company does not pre-approve all content and is not responsible for user content; it may, nonetheless, remove content that contravenes these Terms or the law.

13.4

The Company’s name and marks shall not be used without its prior written consent.

14. Privacy and Data

14.1

The Company’s Privacy Policy at https://farmjaan.com/privacy-policy governs your personal data and forms part of these Terms. This Section is a summary; on data matters, the Privacy Policy shall prevail.

14.2

What is collected and why. Name and mobile telephone number (account, security, one-time passwords); location (search and Listings); Booking details and history (service delivery and experience); reviews; Vendor business information and Verification Documents (operation of the marketplace and verification); payment metadata in respect of Subscriptions (records, invoices, support); device and technical information (principally to prevent fraud and to investigate incidents); and audit records of administrative actions (accountability). In respect of Vendors, contact details, location, booking history, and ratings are used to provide the service and to enhance your experience; device information is used so that the Company can respond should fraud or an incident be traced to you or befall you.

14.3

Storage and processors. Personal data is stored and processed in India; the Company does not transfer personal data outside India. The Company’s current service providers are: Amazon Web Services (S3, for file storage); Razorpay (for payment processing); Google Cloud (for deployment and hosting); and Firebase (for one-time passwords). Each provider receives only what is necessary for the performance of its function. The Company does not sell personal data.

14.4

Retention and deletion. Verification Documents shall be deleted within twelve (12) months of upload, or earlier upon deletion of your account, unless retention for a longer period is required for a legal requirement, dispute, or investigation. Booking records, audit logs, and reviews shall be retained for analysis, product improvement, security, and legal compliance. Upon deletion of your account, your personal and identifying information shall be removed from such records; what remains shall be anonymised (with names, numbers, and contact details removed) and shall not be reasonably capable of being linked back to you or restored to an account.

14.5

Your rights. To the extent applicable law so provides, including the Digital Personal Data Protection Act, 2023, you may request access to, correction of, completion of, or updating of your data; request erasure, including by way of deletion of your account; nominate a person to exercise your rights in the event of your death or incapacity; raise a grievance (see Section 18); and withdraw consent where consent forms the basis of processing, which withdrawal may limit what the Platform can do for you.

14.6

Security. The Company employs reasonable technical and organisational measures; no system, however, is perfectly secure.

14.7

Breach. Should a personal data breach occur, the Company’s team shall contain it, and the Company shall notify affected Users and the authorities within seventy-two (72) hours of discovery, or within such other period as may be required by applicable law.

15. Deletion, Suspension, and Removal of Accounts

15.1

Deletion by you. You may delete your account yourself from within the Platform. Once your deletion request is confirmed, the Company may telephone you to verify that the request is genuine, it shall be permanent: your account and identifying information shall be erased and shall not be recoverable; only anonymised records shall remain (see Section 14.4). Prior to deleting, you should complete or cancel any active Bookings; should you delete with Bookings outstanding, the Company shall assist the other party in re-routing (see Section 7.7).

15.2

Suspension and blocking. The Company may suspend or block an account on account of breach of these Terms, fraud or security risk, protection of other Users, or compliance with law, recording a reason and notifying you where feasible. While blocked, you may not use the Platform; active Bookings shall be dealt with in accordance with Sections 7.7 and 9.

15.3

No formal appeals. Suspensions and blocks are not subject to a formal appeal process. Should you believe that a genuine mistake has been made, for example a case of mistaken identity, you may contact Support; the Company may review the position and restore the account at its discretion where an error is established.

15.4

Vendor removal shall proceed in accordance with Section 7.7, namely warnings (typically up to two), re-routing of Bookings where practicable, notice to affected Farmers, and forfeiture of unused Subscription value where removal is for breach.

16. Disclaimers

16.1

The Platform is provided on an “as is” and “as available” basis. The Company does not warrant that it will be uninterrupted or error-free; it may be maintained, updated, or changed.

16.2

Portions of the Platform depend upon third parties, including networks, the payment gateway, and map services, which are beyond the Company’s control.

16.3

Services are the Vendor’s. The Company does not provide, perform, supervise, or guarantee any Service; Verification carries only the meaning ascribed by Section 7.3. To the fullest extent permitted by law, the Company is not responsible for the acts, omissions, quality, safety, timings, or outcomes of any Vendor.

16.4

Land Listings. Documents displayed in respect of land Listings are provided for information only. The Company does not verify legal ownership, title, boundaries, or encumbrances. Prior to leasing or purchasing, you should obtain independent legal advice and complete all legally required steps (agreement, stamp duty, registration) between the parties. The Company is not a broker and does not negotiate, execute, or register any land transaction.

16.5

Agricultural inputs. The Company relies upon Vendors holding the requisite licences and checks licence documents; the products sold, however, are the Vendor’s, and their quality, labelling, and legality remain the Vendor’s responsibility. Problems should be reported through Support; the Company shall act (see Sections 7.4 and 7.7).

16.6

Cold storage. Cold-storage facilities are owned and operated by Vendors. The Company displays vendor-provided storage information and accepts reservations as an intermediary; it does not take custody of produce, and storage conditions remain the Vendor’s responsibility.

16.7

No advice. Nothing on the Platform constitutes agricultural, legal, tax, or financial advice.

16.8

No promise of demand. The Company does not promise Vendors bookings or business results, save for the express First-Month Booking Credit (see Section 8.6).

17. Liability and Indemnity

17.1

Non-excludable liability. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, liability for fraud or wilful misconduct, or your rights under consumer law.

17.2

Cap on liability. Save as provided in Section 17.1, the Company’s total aggregate liability to you shall be limited as follows: (a) in the case of a Vendor, to the Subscription fees paid by that Vendor to the Company during the twelve (12) months preceding the claim; and (b) in the case of a Farmer, to the Company’s liability as preserved by Section 17.1, without any additional numeric cap; and in all cases, subject to the exclusions in Section 17.3 to the extent permitted by law.

17.3

No indirect losses. The Company shall not be liable for indirect or consequential losses, lost profits, lost data, or loss of goodwill, to the extent such exclusion is permitted by law.

17.4

Matters outside the Company’s scope. The Company shall not be liable for disputes between Farmers and Vendors, payments made directly between them, the content of user posts, or events falling within Section 9.5.

Indemnity by you. You shall indemnify the Company against claims brought against it by third parties arising from (a) your breach of these Terms, (b) content posted by you, (c) in the case of a Vendor, your Services or your workers, or (d) your misuse of the Platform, save where the claim arises from the Company’s own liability which cannot be limited under Section 17.1.

18. Grievances and Support

18.1

Support. Any person may raise a support ticket from within the Platform. A ticket identifier shall be provided; the Company’s team shall respond and shall track the matter to resolution.

18.4

Service disputes. A problem in respect of a Service is, in the first instance, a matter between you and the other party (see Section 4). The Company shall assist with the platform side, including records, reviews, and enforcement; the underlying contract, however, remains yours.

18.5

Preservation of rights. Nothing herein limits your right to approach a consumer forum or any other authority of competent jurisdiction.

19. Amendments to These Terms

19.1

The Company may amend these Terms, including prices and plans. In respect of material changes, the Company shall give not less than thirty (30) days’ advance notice, and shall endeavour to give up to forty-five (45) days, by push notification where enabled, by in-app notice, and by publishing the new version with its effective date on the Platform.

19.2

Continued use of the Platform following the effective date of any amendment constitutes acceptance of the amendment. Should you not accept the amendment, you should cease using the Platform; you remain at liberty to delete your account (see Section 15.1).

19.3

Amendments to Subscription prices or plans shall apply only to purchases and renewals effected following the amendment; an active Subscription shall retain its terms until expiry.

The Company maintains a record of the version you accepted and when (see Section 1.3).

20. Governing Law and Dispute Resolution

20.1

These Terms shall be governed by and construed in accordance with the laws of India.

20.2

Subject to Section 20.4, the courts at Guntur, Andhra Pradesh shall have exclusive jurisdiction.

20.3

The Parties record that these Terms do not provide for arbitration or mediation. Any dispute arising out of or in connection with these Terms shall be resolved in accordance with Section 20.2, subject always to Section 20.4.

20.4

Nothing in these Terms, including any dispute-resolution clause, limits any right you cannot waive, including the right to approach a consumer forum or statutory authority.

20.5

The parties are encouraged to approach Support (Section 18.1) and the Grievance Officer (Section 18.2) in the first instance; most issues are resolved more swiftly thereby.

21.2

Notices. The Company shall give notice via the Platform (in-app), push notification, SMS or one-time-password channels where used, or the email address or telephone number registered to your account. Notice to the Company shall be addressed to the contacts in Section 22.

21.3

Assignment. The Company may assign these Terms, whether by way of reorganisation or otherwise; you may not assign them without the Company’s prior written consent.

21.4

Severability. Should any clause be held invalid, the remainder shall remain in full force and effect, and the invalid clause shall be read as narrowly as is necessary to render it valid.

21.5

No waiver. Failure to enforce a right on one occasion shall not constitute a waiver of that right or of any other.

21.6

Entire agreement. These Terms, together with the Privacy Policy and referenced platform terms, constitute the entire agreement between you and the Company in respect of the Platform. Should any marketing or informational material conflict with these Terms, these Terms shall prevail, without overriding your statutory rights.

21.9

Independent parties. You and the Company are independent; nothing herein creates employment, agency, or partnership.

21.10

Changes to the Platform. The Company may add, change, or discontinue features, including service categories, upon notice where the change is material.

21.11

Discontinuation of the Platform. Should the Company determine to discontinue the Platform, in whole or in part, it shall give not less than thirty (30) days’ prior notice to Users.
